1. Agreement to Terms
By accessing or using Helperr's on-demand task-hailing platform ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users, including task requesters and helpers ("Users"). Helperr reserves the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.
2. Eligibility
To use our Service, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into a binding agreement
- Provide accurate and complete registration information
- Not be prohibited from using the Service under applicable law
- If acting as a helper, meet all applicable licensing and certification requirements for the services you provide
3. Account Registration
To access certain features of our Service, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your password confidential and notify us immediately of any unauthorized access
- Be responsible for all activities that occur under your account
- Not share your account credentials with any third party
We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.
4. Description of Service
Helperr is an on-demand task-hailing platform that connects individuals who need assistance ("Requesters") with independent service providers ("Helpers") who can perform various tasks, including but not limited to:
- Roadside assistance and vehicle help
- Moving and heavy lifting
- Snow removal and yard work
- Furniture assembly
- General errands and assistance
Important: Helperr is a platform that facilitates connections between Users. Helpers are independent contractors, not employees of Helperr. Helperr does not provide the task services directly and is not responsible for the quality, safety, or legality of services provided by Helpers.
5. User Conduct
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Harass, abuse, threaten, or discriminate against any other User
- Post false, misleading, or fraudulent task requests or helper profiles
- Attempt to circumvent the platform to avoid fees or payment
- Interfere with or disrupt the Service or servers connected to the Service
- Use the Service to collect personal information about other Users without their consent
- Engage in any activity that could harm minors or vulnerable individuals
- Impersonate any person or entity
6. Payments and Fees
6.1 Service Fees
Requesters agree to pay the agreed-upon price for tasks, plus any applicable service fees, taxes, and tips. Helperr charges a platform fee for facilitating connections between Users. All fees will be clearly disclosed before you confirm a task.
6.2 Payment Processing
Payments are processed through secure third-party payment processors. By using the Service, you authorize Helperr and its payment processors to charge your designated payment method.
6.3 Helper Payments
Helpers will receive payment for completed tasks minus the platform fee, in accordance with our Helper Payment Terms. Payments are typically processed within 3-5 business days after task completion.
6.4 Cancellations and Refunds
Cancellation policies vary by task type. Requesters may be charged a cancellation fee if they cancel after a Helper has been assigned or is en route. Refund requests are handled on a case-by-case basis and are subject to our Refund Policy.
7. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Helperr does not warrant that: (a) the Service will be uninterrupted, secure, or error-free; (b) any defects will be corrected; (c) the results from using the Service will meet your expectations; or (d) the quality of any services obtained through the platform will meet your requirements.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY CANADIAN LAW, HELPERR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
In no event shall Helperr's total liability exceed the greater of (a) the amount you paid to Helperr in the twelve (12) months prior to the claim, or (b) one hundred Canadian dollars ($100 CAD).
9. Indemnification
You agree to indemnify, defend, and hold harmless Helperr, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) any dispute between you and another User.
10. Dispute Resolution and Arbitration
10.1 Informal Resolution
Before initiating any formal dispute resolution, you agree to first contact us at legal@myhelperr.com and attempt to resolve the dispute informally within 30 days.
10.2 Binding Arbitration
If we cannot resolve the dispute informally, you and Helperr agree to resolve any disputes through binding arbitration administered by ADR Institute of Canada in accordance with its rules, rather than in court. The arbitration will take place in Ontario, Canada, and the arbitrator's decision will be final and binding.
10.3 Class Action Waiver
You agree that any arbitration or proceeding shall be limited to the dispute between us individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the courts located in Ontario, Canada.
12. Intellectual Property
The Service and its original content, features, and functionality are owned by Helperr and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our prior written consent. The Helperr name, logo, and all related names, logos, and slogans are trademarks of Helperr.
13. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court, the remaining provisions will continue to be valid and enforceable. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.
15. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and Helperr regarding the Service and supersede all prior agreements and understandings.
